Joe advises companies on communications and business strategies in support of transactions and other special situations, including mergers and acquisitions, crisis and issues management, shareholder activism and public and investor relations. His areas of expertise include:
- Mergers & Acquisitions: He has worked with clients on both friendly and unsolicited transactions, including Salesforce in its acquisition of Demandware; Cabela’s in its pending sale to Bass Pro Shops; Coherent in its acquisition of Rofin-Sinar; Target in the sale of its pharmacy business to CVS Health; Xerox in the sale of its IT outsourcing business to Atos; Shire in its proposed merger with AbbVie; Nasdaq in its acquisition of Thomson Reuters’ IR, PR and Multimedia Solutions businesses; Allstate in the sale of Allstate Financial to Resolution Life; FMC Corporation in its acquisition of Cheminova; and Tesoro in the sale of its Hawaii refinery and its acquisition of BP’s Southern California refining and marketing business.
- Crisis and Issues Management: He has developed and executed communications strategies to help senior management and boards of directors advance their business objectives and protect their companies’ reputations across a variety of situations, including litigation, bankruptcies and financial restructurings, regulatory investigations, unplanned leadership changes, product recalls, safety investigations, corporate citizenship matters, cybersecurity breaches and workforce reductions.
- Shareholder Activism: He has worked with a number of companies in activism situations and proxy contests opposite Elliott Management, Pershing Square, ValueAct Capital, Clinton Group and Engaged Capital, among others.
- Public and Investor Relations: He works closely with senior management and outside legal and financial advisors to develop and execute multi-stakeholder and investor-focused campaigns and strategies, including preparation for media interviews and speaking engagements, quarterly earnings, investor conferences and annual shareholder meetings.
Joe joined Joele Frank in 2016. He was previously a Vice President at Hill+Knowlton Strategies and a Director at FTI Consulting. He received a JD/MBA and a BA in history and government from the University of Texas at Austin. Joe served as a logistics officer in the United States Marine Corps from 2003 to 2007, achieving the rank of Captain.
