Mergers & Acquisitions
He advises companies on friendly and unsolicited transactions, contested mergers, as well as other special situations. Recent assignments include: Broadcom in its acquisitions of Symantec’s enterprise security business and CA Technologies and its proposal to acquire Qualcomm; Gannett in its sale to New Media Investment Group and its defense of an unsolicited proposal by MNG Enterprises; Cornell-owned Corelle Brands in its merger with Instant Brands; Momentive in its sale to SJL Partners, KCC Corporation and Wonik QnC Corporation; CC Capital in its acquisition of Dun & Bradstreet as well as its acquisition, with Blackstone, of Fidelity & Guaranty Life; LifePoint Health in its sale to Apollo-owned RCCH Healthcare Partners; Honeywell in its spinoff of both its Homes product and Transportation Systems businesses; State National Companies in its sale to Markel Corporation; INC Research in its merger with inVentiv Health; iflix on funding rounds from investors Hearst, Liberty Global, Sky, Zain, Catcha Group and Evolution Media Capital; DH Corporation in its sale to Vista Equity Partners; VCA in its sale to Mars; and Alere in its sale to Abbott Laboratories.
Restructuring & Bankruptcy
He has advised companies in connection with both court-supervised and out-of-court restructurings. Recent assignments include: Taco Bueno Restaurants, The Bon-Ton Stores, General Wireless (RadioShack) and Homer City.
Crisis & Issues Management
He has developed and executed communications strategies to help senior management and boards of directors advance their business objectives and protect their companies’ reputations across a variety of situations, including shareholder activism, unplanned leadership changes, cybersecurity breaches, defense against short sellers and high-profile litigation.
Investor & Public Relations
He works closely with senior management and outside financial and legal advisors to develop and enhance clients’ IR and PR programs, including quarterly earnings preparation, investor conferences and annual shareholder meetings.
Tim joined Joele Frank in 2016. He previously worked at Prosek Partners, where he advised clients across asset management, financial and professional services on strategic communications, and at the global law firm of Kirkland & Ellis LLP, where he supported firm management and senior partners on media relations and communications. A former on-air television news reporter, Tim has nearly a decade of experience with local affiliates of ABC, CBS and NBC.
Tim received an MS in finance from the University of Rochester’s Simon Business School, an MA in journalism from the University of Missouri-Columbia and a BA cum laude from Princeton University.
