Director

Rachel provides strategic communications counsel to clients across industries and in a range of special situations, including crisis management, mergers and acquisitions, and shareholder activism. She also supports companies with ongoing investor and public relations, media relations and corporate communications matters. Her areas of expertise include:

Investor Relations & Public Relations

She has experience helping companies develop and enhance ongoing investor and public relations programs, including assisting with message development, quarterly earnings preparation, investor conferences, employee communications and general profile-raising. Select clients include Foot Locker, Omnicell, Johnson & Johnson, and Motorola Solutions, among others.

Crisis & Issues Management

She has experience supporting clients with crisis preparedness and responses related to a range of issues including data breaches, litigation, management succession and unplanned leadership changes, workforce reductions and earnings restatements.

Restructuring & Bankruptcy

She has assisted companies involved in out-of-court financial restructurings and in-court Chapter 11 reorganizations. Select assignments include Gymboree, Pier 1, PG&E, Global Eagle Entertainment, Ferrellgas Partners, Mallinckrodt and Skillsoft, among others.

Mergers & Acquisitions

Notable transactions include, among others: Skillsoft in its merger with Churchill Capital Corp II, a SPAC; Salesforce in its acquisition of Tableau; Symantec in the sale of its enterprise security business to Broadcom; Cray in its sale to Hewlett Packard Enterprise; KBR in its acquisition of Centauri; II-VI in its acquisition of Finisar; and Penn National Gaming in its acquisition of Barstool Sports.

Shareholder Activism

She has supported companies in public and private activist situations opposite some of the most notable activist investors, including Starboard Value, Elliott Management, Marcato Capital Management, Vintage Capital Management and Bow Street, among others.

Rachel joined Joele Frank in 2017 from Macy’s, where she served on the Marketing & Special Events team. She received a BA in Interdisciplinary Studies from the University of California, Berkeley.
