Sophie Throsby

Managing Director

Sophie provides strategic communications counsel and support to companies involved in a broad range of special situations including mergers and acquisitions, shareholder activism defense, and restructurings and bankruptcies. She also assists clients with crisis preparedness and management, large-scale integrations, and ongoing investor relations and corporate communications strategy.

Mergers & Acquisitions

She has advised on a variety of transaction types including contested, go-private and spin-off situations. Recent experience includes working with Lumentum on its pending acquisition of Coherent; Exact Sciences on its acquisition of Thrive Earlier Detection; Varian on its pending acquisition by Siemens Healthineers; Exact Sciences on its acquisition of Genomic Health; and Centene on its acquisition of WellCare.

Shareholder Activism Defense

Notable public assignments include Ovintiv (Kimmeridge); Forward Air (Ancora); PDC Energy (Kimmeridge); Olin (Sachem Head); Eagle Materials (Sachem Head); Hawaiian Electric Industries (ValueAct Spring Fund); GCP Technologies (Starboard); SUPERVALU (Blackwells Capital); and Avon (Barington).

Crisis Preparedness and Special Situation Communications

She assists and advises companies managing complex crises or special situations, such as large-scale integrations and corporate reorganizations, workforce reductions and facility closures, NGO attacks, SEC inquiries, litigation, defense against short sellers, data breaches, and leadership changes, both planned and unplanned.

Investor Relations & Corporate Communications

She works closely with management teams to develop and enhance clients’ overall communications strategy, including their IR and PR programs, internal communications programs, media relations efforts, investor days and quarterly earnings preparation.

Restructuring & Bankruptcy

She has experience with both out-of-court restructurings and in-court filings under Chapter 11, as well as Section 363 transactions. Notable clients include The Rockport Group, Bon-Ton Stores, Central Grocers, and Memorial Production Partners.

Sophie joined Joele Frank in 2015. Previously, she worked as a producer at Bloomberg Television. She received a BA in Political Science from Duke University, where she was an Alice M. Baldwin Scholar.
