Eduardo provides strategic counsel and communications support to companies across industries and in a wide range of special situations, including mergers and acquisitions, shareholder activism defense, restructurings and bankruptcies, and crisis communications. In addition, he works with clients to develop and refine their investor and public relations programs. His areas of expertise include:

Mergers & Acquisitions

He advises clients in both friendly and contested transactions. Notable assignments include, among others: Ansys in its pending acquisition by Synopsys; Twitter in its acquisition by Elon Musk; Splunk in its acquisition by Cisco; Grubhub in its sale to Just Eat Takeaway.com; Symantec in the sale of its enterprise security business to Broadcom; Alteryx in its sale to Clearlake Capital and Insight Partners; Varian in its sale to Siemens Healthineers; Rothy’s in its strategic investment by Alpargatas; Joseph Phelps Vineyards in its sale to LVMH; Cypress in its sale to Infineon; Thermo Fisher Scientific in its acquisitions of PPD, Inc., Olink and Brammer Bio; Gilead in its acquisition of Immunomedics; Shutterfly in its sale to Apollo Global Management; and Forescout in its sale to Advent International.

Shareholder Activism

He supports companies in both public and private activism situations. Notable assignments include Akamai (Elliott), Crown Castle (Elliott), Symantec (Starboard Value), GCP Applied Technologies (Starboard Value), The New York Times Company (ValueAct), Adtalem (Engine, Hawk Ridge), SUPERVALU (Blackwells) and Whitestone REIT (KBS).

Bankruptcy & Restructuring

He has experience advising clients on Chapter 11 reorganizations, out-of-court restructurings and Section 363 asset sales. Notable assignments include PG&E Corporation, SVB Financial Group, GOL Airlines, Avianca Holdings, Mattress Firm, Gymboree, Oasis Petroleum, K&N Engineering, Southeastern Grocers, Casa Systems, Restoration Forest Products, RentPath, Taco Bueno and Save A Lot.

Crisis and Issues Management

He develops and executes crisis communications strategies spanning both contingency planning and responses to a variety of situations, including cybersecurity issues and data breaches, litigation, earnings surprises and restatements, workforce reductions, workplace misconduct and internal/Board investigations, short attacks, management succession and unplanned leadership changes, social and geopolitical issues, and natural disasters.

Investor Relations & Public Relations

He works closely with management teams to develop and enhance overall corporate communications strategies, including assisting clients with quarterly earnings preparation, corporate positioning, profile-raising, thought leadership opportunities, employee communications and DE&I messaging.

Eduardo joined Joele Frank in November 2017. He holds a BA in Communication from Boston College. He is a native Spanish speaker.
