Carly provides strategic counsel and communications support to companies across industries in a broad range of special situations and high-profile events, including mergers and acquisitions, shareholder activism defense, restructurings and bankruptcies, and crisis management. She also works with clients to develop and refine their investor and public relations programs. Her areas of expertise include:

Transaction Communications

Carly has advised on a variety of transactions including go-privates, spin-offs and IPOs. Select assignments include FLIR’s acquisition by Teledyne, Kroger in its acquisition of Albertsons Cos., Life Storage in its sale to Extra Space, MoneyGram in its sale to Madison Dearborn Partners, NexTier in its combination with Patterson-UTI, South Jersey Industries in its sale to the Infrastructure Investments Fund, TaskUs in its initial public offering, and Zynga in its sale to Take-Two Interactive.

She also advises on unsolicited and shareholder-contested transactions, including Pattern Energy in its contested transaction with CPP Investments, Ritchie Bros.’ contested acquisition of IAA Inc., SomaLogic in its contested transaction with Standard BioTools, and Unity in its defense against AppLovin, among others.

Restructuring & Bankruptcy

She advises companies involved in out-of-court financial restructurings and in-court Chapter 11 reorganizations. Select assignments include: Akumin, Covia, CWT, Ditech, FTD, GBG USA, Mallinckrodt, Mood Media, Riverbed Technology, Save-A-Lot, Skillsoft, Stage Stores, and Southcross Energy.

Shareholder Activism

She has supported companies in public and private activist situations opposite some of the most notable activist investors, including Ancora, Elliott Management, Engaged Capital, JANA Partners, Land & Buildings, Luxor, and Starboard Value.

Crisis and Special Situation Communications

She has experience supporting clients with crisis preparedness and responses related to a range of issues including cybersecurity incidents and data breaches, earnings surprises and restatements, litigation, product recalls, regulatory inquiries, short attack campaigns, management succession and unplanned leadership changes, and workforce reductions.

Investor Relations & Public Relations

She works with clients to enhance their overall corporate communications strategies, including corporate positioning and message development, quarterly earnings preparation, employee communications, thought leadership and profile raising, analyst days and annual shareholder meetings.

Carly joined Joele Frank in 2019. She received a BA in Government from Wesleyan University.
