Charlotte provides strategic counsel and communications support to companies involved in a broad range of special situations and high-profile corporate events, including mergers and acquisitions, shareholder activism defense and proxy contests and crisis management. She also assists clients with ongoing investor relations and corporate communications strategies. Her areas of expertise include:

Mergers & Acquisitions

She has worked with clients on friendly, unsolicited and contested transactions, along with SPAC transactions. Notable assignments include: Altra Industrial Motion in its combination with Fortive; Benson Hill in its combination with Star Peak Corp II (SPAC); Cardtronics in its sale to NCR; Core-Mark in its sale to Performance Food Group; CIRCOR in its successful defense against an unsolicited proposal from Crane; DTE Energy in its spin-off of DTE Midstream; Dynegy in its merger with Vista; Exact Science in its acquisition of Genomic Health; International Flavors & Fragrances in its acquisition of Frutarom; L Brands in its sale of majority stake of Victoria’s Secret to Sycamore Partners; McCormick in its acquisition of Reckitt Benckiser’s Food Division; Progenics Pharmaceutics in its merger with Lantheus.

She has advised on numerous public and private activist situations and counseled clients facing short attacks. Notable assignments include: Ashland (Cruiser Capital); Buffalo Wild Wings (Marcato); FleetCor (Citron Research); L Brands (Barington); Lowes (D.E. Shaw); Mack-Cali Realty (Bow Street); Motorola (Citron Research); Natus Medical (Voce Capital); Newell Brands (Carl Icahn and Starboard); Omnicell (Glasshouse Research); Ovintiv (Kimmeridge); P&G (Trian), Progenics Pharmaceutics (Velan Capital).

Public & Investor Relations

She assists public companies in enhancing their overall communications strategy, including corporate positioning, quarterly earnings preparation, employee communications, investor days and annual shareholder meetings.

Crisis Communications

Recent projects include advising clients involved with cybersecurity breaches, financial restatements, litigation, short attacks, regulatory inquiries and SEC investigations, unplanned leadership changes, facility closures and workforce reductions.

Charlotte joined Joele Frank in 2016. She received a BA in Finance and Accounting from Lehigh University.
