Tim has advised hundreds of companies engaging with shareholder activists. Select defense engagements that stand out for Tim include helping Target win its proxy fight against Pershing Square, advising Brookdale Senior Living in two winning proxy fights against different activists several years apart, and his first proxy fight—a loss against Shore Capital suffered by Patientline.
Mergers & Acquisitions
He is a seasoned advisor to companies across a range of sectors and geographies in both friendly and hostile transactions, with particular expertise in complex cross-border deals. Recent highlights of his M&A work include advising Pinnacle Financial Partners in its merger with Synovus, Amcor in its merger with Berry Global, Spirit AeroSystems in its acquisition by Boeing, and Sage Therapeutics in its defense against an unsolicited offer from Biogen and subsequent acquisition by Supernus Pharmaceuticals.
Crisis Communications
Having spent his early career helping clients spar with the U.K. media, he provides strategic counsel on traditional media relations and social media campaigns for companies experiencing a wide range of crises, including government and regulatory investigations, management changes and restructurings. He also has significant experience defending against short attacks, including facing Hindenburg, Jehoshaphat, Muddy Waters, Scorpion Capital, Snowcap and Spruce Point.
