Billy has supported clients across industries with friendly, unsolicited and contested transactions including acquisitions, sales and take-privates, mergers and spin-offs. Notable experience includes: supporting Norfolk Southern in its pending acquisition by Union Pacific; Qorvo in its pending acquisition by Skyworks; Warner Bros. Discovery in its pending separation; Endeavor Energy in its merger with Diamondback Energy, Inc.; EQT Corporation in its merger with Equitrans Midstream Corporation; Johnson & Johnson in its acquisition of Shockwave Medical; HanesBrands in its sale of Champion to Authentic Brands Group; SiriusXM in its split-off with Liberty Media; Entegris, Inc. in its acquisition of CMC Materials; and QTS Realty Trust in its acquisition by Blackstone.
Shareholder Activism Defense
He has experience supporting on public and private activism situations, including proxy contests, against Elliott, Engine Capital, Third Point, D.E. Shaw, Ancora, Dendur Capital and Barington Capital, among others.
Crisis Communications
Billy has worked with clients to prepare for and respond to a full spectrum of crisis scenarios including management succession, unplanned leadership changes, short attack campaigns, federal investigations, regulatory inquiries, facility disasters and workforce reductions.
Investor Relations
He has supported clients in developing and enhancing ongoing investor relations and corporate communications programs, including quarterly earnings preparation, annual shareholder meetings, investor days and corporate positioning.
Restructuring and Bankruptcy
Billy has experience assisting public and private companies with Chapter 11 restructuring processes. Notable experience includes: supporting FTX; Coach USA, Inc.; Prospect Medical Holdings; Klöckner Pentaplast; and Pine Gate Renewables.
