Liam has advised on a variety of transaction types, including friendly and unsolicited M&A, spin-offs, divestitures and other transactions. Select assignments include: National Storage Affiliates in its acquisition by Public Storage, CONSOL Energy in its merger of equals with Arch Resources to create CORE Natural Resources, MasterCraft in acquisition of Marine Products, Radius Recycling in its acquisition by Toyota Tsusho America, Archrock in its acquisitions of Total Operations and Production Services and Natural Gas Compression Systems, Ansys in its acquisition by Synopsys, Pinnacle Financial Partners in its merger of equals with Synovus Financial, Deciphera in its acquisition by ONO Pharmaceuticals, Grail in its spin-off from Illumina, Neiman Marcus in its acquisition by HBC, Model N in its acquisition by Vista Equity Partners, and Textainer in its acquisition by Stonepeak.
Crisis and Issues Management
Liam has experience assisting management teams and boards of directors with crisis preparedness and responses related to a variety of situations, including unplanned leadership changes, litigation, internal investigations, cybersecurity issues and data breaches, and workforce reductions.
Corporate Communications and Investor Relations
Liam works closely with companies and management teams to develop and execute and enhance ongoing corporate communications and public relations programs, including executive profile-raising, thought leadership, and corporate narrative development. He also assists clients in developing and enhancing in investor relations programs, including quarterly earnings preparation, investor conferences, and investor days. In addition, he conducts media and presentation training with executives and other company spokespeople.
Shareholder Activism
Liam has worked with companies in public and private activist situations opposite returning founders and some of the most notable activist investors, including Elliott Management, Engaged Capital, Engine Capital, Farallon Capital, and Starboard Value, among others.
