Discovery in its pending merger with Paramount Skydance; Norfolk Southern in its pending merger with Union Pacific; Aligned Data Centers in its transaction with AI Infrastructure Partnership, MGX, and BlackRock’s Global Infrastructure Partners; U. S. Steel in its transaction with Nippon Steel; Verizon in its acquisition of Frontier Communications; STAAR Surgical in its attempted transaction with Alcon; Flowserve in its attempted combination with Chart Industries.

Shareholder Activism Defense

Morgan has worked with companies in public and private activist situations opposite some of the most notable activist investors, including Ancora, D.E. Shaw, Elliott Management, JANA Partners, Land & Buildings, Starboard Value and Third Point.

Morgan has experience assisting management teams and board of directors to prepare for and respond to complex crises and special situations, including cyber security incidents, litigation, earnings surprises, workforce reductions and facility closures, natural disasters, management succession and unplanned leadership changes.

Investor Relations and Corporate Communications

Morgan works with clients and outside financial and legal advisors to develop and enhance investor relations and corporate communications programs, including quarterly earnings preparation, investor conferences, annual shareholder meetings, profile-raising, thought leadership and employee communications.
