Andrew Siegel provides strategic communications counsel to companies involved in transactions, proxy contests, reorganizations, and other crises and special situations. He also advises leading public companies on investor and media relations and long-term corporate positioning programs. Drawing on his more than 25 years of experience counseling Boards of Directors and management teams, and his formative experiences as a nightshift ambulance driver/EMT, Andrew is sought out for his cool head in a crisis and ability to deliver thoughtful and effective communications strategies and messaging to help companies navigate complex situations. His clients include some of America’s preeminent public companies such as Johnson & Johnson, Lockheed Martin, Martin Marietta, Motorola Solutions, Nucor, Six Flags and Weyerhaeuser.

Advised on hundreds of transactions in the energy sector, including Valaris in its pending sale to Transocean, and Helix Energy in its merger with Hornbeck Offshore
Regularly advises REIT and real estate companies on shareholder activism matters, including dozens of defense engagements related to activist hedge funds such as Ancora, Irenic and Land & Buildings
Serving as an advisor to MP Materials, America’s only fully integrated rare earth producer, in connection with its public-private partnership with the U.S. Department of War (DoW) and related efforts to accelerate U.S. rare earth magnet independence
Worked with Boise Cascade in connection with its settlement with the Department of Justice and related disclosures

He advises companies on the communications challenges involved in both friendly and unsolicited M&A transactions. Recent assignments include advising Neurocrine Biosciences in its acquisition of Soleno Therapeutics; National Storage Affiliates in its sale to Public Storage; Americold in its joint venture with EQT; National Fuel Gas in its acquisition of CenterPoint’s Ohio natural gas utility business; Premier Inc. in its sale to Patient Square Capital; Host Hotels in numerous asset acquisitions; Teck Resources in the sale of its coal business to Glencore; Magellan Midstream in its merger with Oneok; Denbury in its sale to Exxon; and both Noble Energy and PDC Energy in their respective sales to Chevron.

Spin-Offs

He has considerable experience advising companies on spin-offs and public offerings including: Worthington Industries, Labcorp, DTE Energy, TechnipFMC, EQT, Manitowoc, Energizer, Oil States International, Phillips 66, L-3 Communications, Motorola, Allete and Holly Energy Partners.

Shareholder Activism

His experience in high-profile activism situations and proxy contests includes defending companies such as First Industrial, VF Corp., Ventas, Suncor, Peloton, Ovintiv, Procter & Gamble, Williams, Abercrombie & Fitch, Clorox, Motorola and CSX.

Crisis Communications

He has considerable crisis and issues management experience and has advised companies in connection with state and federal investigations, regulatory inquiries, insider trading allegations, hostage situations, facility disasters, closures and workforce reductions, high-profile litigation and unplanned leadership changes.

Andrew joined Joele Frank shortly after the firm’s inception in 2000. He previously worked in Financial Planning at Merrill Lynch. He earned a B.A. from the University of Pennsylvania.
