Nick provides strategic counsel and communications support to companies across industries and in a wide range of special situations, including mergers and acquisitions, shareholder restructurings and bankruptcies and management changes. He also assists clients with ongoing investor relations, corporate communications and crisis management. His areas of expertise include:
Mergers & Acquisitions
Nick has advised companies on a variety of both friendly and unsolicited M&A transactions. Notable experience includes working with: Bristol Myers Squibb in its acquisitions of Celgene Corporation and MyoKardia; Umpqua Holdings Corporation in its combination with Columbia Banking System; Lifetime Brands in its acquisition of S’Well; Energizer in its separation into two independent companies; Mylan in its combination with Upjohn, a division of Pfizer; GuideWell (parent of Florida Blue) in its acquisition of Triple-S; U.S. Concrete in its sale to Vulcan Materials; Pluralsight in its sale to Vista Equity Partners; NIC in its sale to Tyler Technologies; L Brands in its separation into two independent companies; and Taubman Centers in its sale to Simon Property Group.
Shareholder Activism
He has worked with a number of companies in activism situations and proxy contests opposite Elliott Management, Starboard, JANA Partners, Sachem Head, DE Shaw, Carl Icahn and Land & Buildings, among others. Notable public engagements include advising Principal Financial Group, US Foods, FedEx and Merit Medical.
Bankruptcy & Restructuring
He has experience advising clients on Chapter 11 reorganizations and Section 363 asset sales. Notable assignments include JCPenney, CWT, Strike, MD Helicopters, Oasis Petroleum and Catalina Marketing.
Investor Relations & Public Relations
He works with public companies to enhance their overall communications strategy, including corporate positioning, quarterly earnings preparation, thought leadership activities and employee communications.
Crisis Communications
Recent projects include advising clients involved with cybersecurity breaches, financial restatements, litigation, short attacks, regulatory inquiries and SEC investigations, unplanned leadership changes, facility closures and workforce reductions.
Nick joined Joele Frank in 2019. He received a BS in Public Relations from Syracuse University.
