He advises companies on friendly and unsolicited transactions, contested mergers, as well as other special situations. Recent assignments include advising Virtusa in its acquisition by Baring Private Equity Asia; Mylan in its combination with Upjohn, a division of Pfizer; Circor in its successful defense against an unsolicited proposal from Crane; Simply Good Foods in its acquisition of Quest; Gannett in its sale to New Media Group and in its successful defense of an unsolicited proposal by MNG, and previously in its unsolicited proposal to acquire Tribune Publishing; Papa John’s in its strategic investment from Starboard Value; Enerpac (f.k.a Actuant) in the sale of its Engineered Components & Systems division to One Rock Capital; SPX FLOW in the sale of its Power and Energy division to Apollo; Red Hat in its sale to IBM; athenahealth in its sale to Veritas; LifePoint in its sale to Apollo-owned RCCH Healthcare; DST in its sale to SS&C; and Kindred in its sale to Humana, TPG Capital and Welsh, Carson, Anderson & Stowe.
He has significant experience advising companies on separations and spin-offs including MGM in the separation of MGM Growth Properties; Dover in its spin-off of Apergy and previously in its spin-off of Knowles; InvenTrust in the spin-off of Highlands and in its spin off of Xenia Hotels & Resorts; Manitowoc in the spin-off of its Foodservice business; and Motorola in its separation of Motorola Mobility.
He advises companies on communications and strategy related to public and private shareholder activism matters and frequently defends companies against some of the most high profile activist investors. Recent public assignments include Crown Castle (Elliott); Pernod Ricard (Elliott); athenahealth (Elliott); GCP Applied Technologies (Starboard); Virtusa (New Mountain Capital); MGM (Corvex); Macquarie Infrastructure Corporation (Moab Capital); Sina Corporation (Aristeia); Team Inc. Restructuring & Bankruptcy
He advises companies on out-of-court restructurings and in-court filings under Chapter 11 in the U.S. and CCAA in Canada, as well as debtors in connection with Section 363 transactions. Select clients have included FirstEnergy, Horizon Lines, MGM Mirage, Oi SA and Toys R Us.
These matters include unplanned leadership changes, federal investigations, regulatory inquiries, product recalls, closures and workforce reductions.
