She works with clients in both friendly and unsolicited M&A transactions. Notable assignments include advising HP in its defense against Xerox’s unsolicited takeover proposal; Symantec in its sale to Broadcom; Cypress Semiconductor in its sale to Infineon; Shutterfly in its sale to Apollo; Gilead in its acquisition of Kite Pharma; Thermo Fisher Scientific in its acquisition of Patheon; SolarCity in its sale to Tesla; Knight Transportation on its merger with Swift Transportation; Symantec in its acquisition of Blue Coat Systems; Cabela’s in its sale to Bass Pro Shop; Thermo Fisher Scientific in its acquisition of Affymetrix.
Restructuring & Bankruptcy
She has experience advising clients on Chapter 11 reorganizations and Section 363 asset sales. Notable assignments include: PG&E, Avianca, Oasis Petroleum, Mattress Firm, Taco Bueno Restaurants and Jumio.
She has worked with many companies in both public and private activism situations and proxy contests opposite Elliott Management, Corvex Management, JANA Partners, Starboard Value, Icahn Enterprises, Third Point, among others.

She assists public companies in enhancing their overall communications strategy, including corporate positioning, quarterly earnings preparation and employee communications.
