Eliza provides strategic counsel and communications support to companies involved in special situations, including mergers and acquisitions, shareholder activism defense and proxy contests, management changes and crises. She also assists clients with ongoing investor relations and corporate communications. Her areas of expertise include:
- Mergers & Acquisitions: She works with clients on both friendly and unsolicited M&A transactions. Notable assignments include advising: CIRCOR in its defense against an unsolicited offer from Crane Co.; the Infrastructure Investments Fund, an investment vehicle advised by J.P. Morgan Investment Management Inc., in its pending acquisition of El Paso Electric; Parker Hannifin in its pending acquisition of LORD Corporation; II-VI in its pending acquisition of Finisar; BW LPG in its proposed combination with Dorian LPG; CenturyLink in its merger with Level 3; and Agrium and PotashCorp in their merger of equals.
- Shareholder Activism: She works with companies in both public and private activist situations, helping companies defend against some of the most notable activist investors, including Barington Capital Group, Elliott Management, Engaged Capital, Marcato Capital Management, Snow Park Capital Partners, Starboard Value and Trian Partners.
- Crisis Management: She assists senior management teams and Boards of Directors in a variety of situations, including unplanned leadership changes, litigation, regulatory inquiries, reputational attacks and worksite violence.
- Investor Relations and Public Relations: She works closely with senior management teams to enhance their overall communications strategy, including quarterly earnings preparation, investor events and employee communications.
