Adam assists companies in a range of situations including mergers and acquisitions, unsolicited approaches and shareholder activism, management changes, as well as provides ongoing public and investor relations support. His areas of expertise include:

  • Mergers & Acquisitions: His transaction support includes advising Rackspace on its pending go-private transaction with Apollo Global Management; Joy Global on its pending acquisition by Komatsu; American Science & Engineering on its pending acquisition by OSI Systems; Anbang Insurance Group on its unsolicited offer for Starwood Hotels; Norfolk Southern on its successful defense against Canadian Pacific; ACE in its acquisition of Chubb; Depomed on its successful defense against Horizon Pharma; Dentsply on its merger with Sirona; Entegris on its acquisition of ATMI; ShoreTel on its successful defense of Mitel Networks; Time Warner on its successful defense of 21st Century Fox; Verizon Communications on its agreement to acquire Vodafone’s interest in Verizon Wireless; US Airways on its successful merger with American Airlines; Hertz in its proposed separation of its equipment rental business; Ralcorp on its spin-off of Post Foods and subsequent sale to ConAgra Foods; Darden on its separation of Red Lobster and sale to Golden Gate Capital; Zimmer Holdings on its merger with Biomet; and Human Genome Sciences on its defense against and sale to GlaxoSmithKline.
  • Shareholder Activism: He has experience in activism situations and proxy situations, including advising DuPont on its successful defense against Trian, AOL on its successful proxy contest against Starboard; Clearwater Paper (SAC); Darden (Starboard and Barington); Danone (Trian); Depomed (Starboard); Emulex (Starboard and Elliott); Herbalife (Pershing Square); Hertz (Carl Icahn); Sony (Third Point); and Williams Companies (Corvex and Soroban).
  • Crisis Preparedness and Communications: His assignments include defense against short sellers, financial restructurings, bankruptcies, changes in strategic direction, facility closures and workforce reductions, reputational attacks, litigation, regulatory inquiries and unplanned leadership changes.
  • Investor Relations and Public Relations: He works closely with senior management and outside financial and legal advisors to develop and enhance clients’ IR and PR programs, including quarterly earnings preparation, corporate profioe raising and buy- and sell-side targeting.

Adam joined Joele Frank in 2011. Previously he worked at KCSA Strategic Communications. He received a BBA from the University of Wisconsin-Madison School of Business.
